1. Acceptance of Terms

By accessing or using the website of ZEN10 Studio ("ZEN10", "we", "our"), or by submitting a project brief or commission inquiry, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must refrain from using our web services.

2. Studio Scope & Project Briefs

ZEN10 specializes in high-performance website development, custom web tools, Framer Motion editorial interfaces, and database integrations for clients globally.

• Non-Binding Inquiry: Submitting a brief or pop-up inquiry does not create a binding legal contract or guarantee studio availability.
• Statement of Work (SOW): Formal project commencement occurs only upon mutual execution of a written Statement of Work (SOW) detailing exact deliverables, milestone schedules, and initial deposit receipt.

3. Intellectual Property & Source Code Ownership

We believe in complete client ownership with zero proprietary lock-in:

• Full Code Transfer: Upon final milestone payment completion, 100% ownership of custom source code, application repositories, custom database schemas, and graphic design deliverables created for your project is transferred to you.
• Portfolio Exhibition Right: Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA), ZEN10 retains a non-exclusive right to showcase completed client websites and screenshots as case studies in our studio portfolio.

4. Project Scope Tiers & Milestone Payments

Our studio operates on clear, transparent project scope tiers:

• Essential Web Work: Custom portfolio, marketing, or business storefront websites built for speed.
• Websites + Booking System: Interactive web portals with integrated appointment scheduling & booking systems.
• High-End Commercial & CRM Systems: Enterprise-grade commercial websites with full CRM integration & 99% uptime guarantee.

Milestone payments are due according to the schedule agreed upon in your SOW. Late payments may pause project execution.

5. Performance Architecture & 99% Uptime Guarantee

Commercial websites engineered by ZEN10 are deployed on serverless cloud platforms (Next.js App Router, Neon Postgres DB) targeted for 99% operational uptime and sub-100ms hydration budgets.

ZEN10 is not responsible for outages caused by third-party domain registrars, client DNS misconfigurations, or unapproved third-party plugin modifications introduced after project handover.

6. Limitation of Liability

To the maximum extent permitted by applicable law, ZEN10 shall not be liable for any indirect, incidental, special, or consequential damages (including loss of profits or business interruption) arising out of or in connection with the use of our services or completed web deliverables.

7. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of these terms or services shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India.
